Terms of Service

1. Acceptance of Terms

By accessing or using RippleDM at rippledm.com (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a binding agreement between you and RippleDM (“we,” “our,” or “us”).

2. Description of Service

RippleDM provides an Instagram automation platform that enables users to automate direct messages in response to comments, story mentions, and other triggers; manage leads and customer relationships; and analyze engagement performance. The Service operates through Meta’s official Instagram Messaging API.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

4. Account Registration

You must create an account to use the Service. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@rippledm.com

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Meta / Instagram Platform Compliance

By connecting your Instagram account and using the Service, you agree to comply with:

• Meta’s Platform Terms of Service and Developer Policies
• Instagram’s Community Guidelines
• All applicable messaging policies, including the 24-hour messaging window for non-human-initiated conversations

You acknowledge that RippleDM’s access to your Instagram account is governed by Meta’s policies, and Meta may revoke such access at any time. You are responsible for ensuring your use of the Service complies with Meta’s current policies.

6. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Send spam, unsolicited commercial messages, or harassing content
• Automate messages that violate Meta’s platform policies or Instagram’s terms
• Use the Service to send messages that are deceptive, fraudulent, or misleading
• Attempt to circumvent Instagram’s rate limits or security measures
• Use the Service to collect data from Instagram users in violation of privacy laws
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell or sublicense access to the Service without our written permission
• Use the Service in any manner that could damage, disable, or impair our infrastructure

Violation of this section may result in immediate account suspension without refund.

7. Subscription and Payment

7.1 Plans

We offer a free tier with limited features and paid subscription plans (Pro, Enterprise). Plan details and pricing are available on our website. We reserve the right to modify pricing with 30 days’ notice.

7.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis via Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. All fees are non-refundable unless required by applicable law.

7.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

8. Intellectual Property

The Service, including its software, design, and content, is owned by RippleDM and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of the automation rules, message templates, and other content you create using the Service. By using the Service, you grant us a limited license to store and process your content as necessary to provide the Service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that any particular results will be achieved. Instagram’s API availability and policies are outside our control. We are not responsible for any changes to Meta’s policies that affect your ability to use the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIPPLEDM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless RippleDM and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights including Meta’s platform policies.

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms or Meta’s policies, if required by law, or if we discontinue the Service.

Upon termination, your right to use the Service ceases. Sections 8, 10, 11, 12, and 14 survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or by posting a notice on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
